Terms of Service

Mithrify, Inc. provides tools for preserving, organizing, crystallizing, searching, and reusing AI conversations, code-agent sessions, prompts, decisions, project reasoning, Markdown notes, transcripts, files, and related source records.

By using Mithrify, you agree to be bound by these Terms and any policies referenced by them. If you do not agree, do not use Mithrify.

If you use Mithrify on behalf of a company, organization, or other entity, you represent that you have authority to accept these Terms on its behalf.

Mithrify is a local-first memory product for AI work. The product may include desktop software, website features, early access programs, import and capture workflows, transcription, indexing, retrieval, visualization, and future optional cloud, sync, or account-based services.

Mithrify is designed to help turn scattered information into structured memory. Mithrify Voice is an optional AI conversation layer that can convert supported voice and text sessions into Markdown memory. Features may change as the product develops.

Mithrify may be offered as early access, beta, preview, or experimental software. Early features may be incomplete, unstable, unavailable, changed, limited, or removed at any time.

You understand that early access software may contain bugs, errors, data processing issues, or interruptions. Use early access features at your own discretion.

Some features may require an account, approval, invite, subscription, or access credentials. You are responsible for keeping your login credentials secure and for all activity under your account.

You agree to provide accurate information when creating an account, joining a waitlist, making a purchase, or communicating with Mithrify.

You retain ownership of the content you create, import, capture, upload, store, or process through Mithrify, including AI conversations, code-agent session records, Markdown documents, notes, transcripts, voice recordings, files, links, and related memory artifacts.

You are responsible for your content and for ensuring you have the rights, permissions, and authority needed to use it with Mithrify.

You grant Mithrify, Inc. only the limited rights needed to operate, provide, secure, debug, maintain, and improve the product where applicable.

Mithrify is designed around local-first storage. In local workflows, your content may be stored on your own device and remain under your control.

If Mithrify introduces optional cloud, sync, backup, sharing, collaboration, account, or hosted AI features, those features may involve processing or storing data outside your device. Any such features may be governed by additional terms, disclosures, or settings.

You are responsible for backing up local files that matter to you.

Mithrify may use AI features to transcribe, summarize, structure, index, retrieve, classify, or generate text based on your content.

AI output may be incomplete, inaccurate, misleading, outdated, duplicated, or inappropriate for your use case. You are responsible for reviewing AI-generated content before relying on it.

Mithrify should not be used as the sole source of truth for legal, medical, financial, safety-critical, employment, housing, insurance, or other high-impact decisions.

You agree not to misuse Mithrify or use it to:

• violate applicable laws or regulations
• infringe, misappropriate, or violate the rights of others
• upload or distribute malware or harmful code
• interfere with, overload, abuse, or disrupt Mithrify systems
• attempt unauthorized access to accounts, systems, or data
• bypass security, usage limits, or access controls
• reverse engineer restricted parts of the product except where allowed by law
• use Mithrify to harass, exploit, or harm others
• use Mithrify to create or distribute illegal or harmful content

If Mithrify offers paid plans, subscriptions, credits, or purchases, pricing and billing terms will be shown at the time of purchase.

You agree to provide accurate billing information and authorize applicable charges. Subscription plans may renew automatically unless cancelled according to the instructions provided at purchase.

Payments are non-refundable except where required by law or explicitly stated otherwise.

Mithrify may change pricing, plan features, or billing terms with notice where required.

Mithrify’s website creative assets—including website videos, artwork, graphics, mock interfaces, text, branding, trademarks, logos, visual systems, and audiovisual content—are owned by Mithrify, Inc. or its licensors and are protected by applicable intellectual-property laws.

Technical access to, browser delivery of, or caching of an asset does not transfer ownership or grant a license beyond ordinary personal viewing and the temporary browser caching needed for that viewing.

Without prior written permission, you may not:

• redistribute, republish, sell, sublicense, or present Mithrify website media as your own
• remove, obscure, or alter copyright notices, watermarks, attribution, or other ownership marks
• use Mithrify’s name, logos, trademarks, or branding in a way that suggests endorsement, sponsorship, or affiliation
• use automated means to bulk scrape, harvest, or build a collection of protected website creative assets
• use protected Mithrify website media to train, fine-tune, evaluate, or supply datasets for machine-learning or generative models without permission
• make unauthorized commercial adaptations, derivative works, compilations, or promotional materials from protected website creative assets

These restrictions apply to Mithrify website creative assets, not to user-provided content, which remains governed by the User Content section. Open-source software is governed by its applicable open-source license, and third-party materials remain subject to the rights and licenses of their respective owners.

If you provide feedback, ideas, suggestions, bug reports, comments, or recommendations, you allow Mithrify, Inc. to use them without restriction, obligation, or compensation.

Mithrify may integrate with, link to, or rely on third-party services, models, APIs, hosting providers, analytics tools, payment processors, app stores, or infrastructure providers.

Third-party services are governed by their own terms and policies. Mithrify, Inc. is not responsible for third-party services.

Mithrify software may update automatically or require manual updates. Updates may add, modify, or remove features.

You are responsible for using a current and secure version of the software where applicable.

You may stop using Mithrify at any time.

Mithrify, Inc. may suspend or terminate access if you violate these Terms, misuse the product, create risk for Mithrify or others, fail to pay required fees, or if we are required to do so by law.

Mithrify, Inc. may modify, suspend, limit, or discontinue parts of the product at any time. We may provide notice where practical, but some changes may happen without notice, especially for security, legal, technical, or operational reasons.

Mithrify is provided “as is” and “as available.”

To the maximum extent permitted by law, Mithrify, Inc. disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and uninterrupted operation.

We do not guarantee that Mithrify will be error-free, uninterrupted, secure, accurate, or that your content will never be lost, corrupted, or altered.

To the maximum extent permitted by law, Mithrify, Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, business interruption, or the cost of substitute services.

To the maximum extent permitted by law, Mithrify, Inc.’s total liability for any claim related to Mithrify or these Terms will not exceed the greater of:

• the amount you paid to Mithrify in the six months before the claim arose, or
• $100.

If you use Mithrify on behalf of a business or organization, you agree to indemnify and hold harmless Mithrify, Inc. from claims, damages, losses, liabilities, and expenses arising from your use of Mithrify, your content, your violation of these Terms, or your violation of law or third-party rights.

You agree to comply with applicable export control and sanctions laws. You may not use, export, or provide access to Mithrify in violation of those laws.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles, unless applicable law requires otherwise.

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised date.

Your continued use of Mithrify after updated Terms are posted means you accept the updated Terms.
